Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kubernyx ("Company," "we," "us," or "our"), the operator of ReceiptStream.AI (the "Service"), accessible at receiptstream.ai and app.receiptstream.ai.

By creating an account, accessing, or using the Service in any way, you confirm that you:

• Have read and understood these Terms in full
• Are at least 18 years of age, or the age of legal majority in your jurisdiction
• Have the authority to enter into this agreement on behalf of yourself or your organization
• Agree to be bound by these Terms and our Privacy Policy

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ReceiptStream.AI is a software-as-a-service (SaaS) application that provides:

• AI-powered receipt capture — optical character recognition (OCR) to extract structured data (vendor, amount, date, line items) from receipt images
• QuickBooks Online synchronization — automatic creation of expense entries in your connected QuickBooks Online account based on captured receipt data
• Expense categorization — automated and rule-based categorization of expenses by vendor, amount, or other criteria
• Team collaboration — multi-user access to a shared receipt capture and expense workflow
• Data export — CSV and report export of captured expense data (Pro and Enterprise plans)

The Service is provided via a web application accessible on desktop and mobile browsers, with Progressive Web App (PWA) capabilities for mobile home-screen installation. The Service requires an active internet connection to function.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically:

Permitted Uses

• Capturing and organizing legitimate business expense receipts
• Syncing genuine business expenses to QuickBooks Online for accounting and bookkeeping purposes
• Inviting team members to capture receipts for your organization's QuickBooks account

Prohibited Uses

You may not use the Service to:

• Upload fraudulent, fabricated, altered, or otherwise illegitimate receipts
• Facilitate personal tax evasion, expense fraud, or any form of financial misrepresentation
• Circumvent applicable tax, accounting, or financial reporting obligations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
• Attempt to gain unauthorized access to any portion of the Service or related systems
• Transmit any viruses, malware, or other malicious code
• Violate any applicable local, state, national, or international law or regulation
• Resell, sublicense, or provide the Service to third parties as your own product

We reserve the right to immediately suspend or terminate accounts engaged in prohibited use, without notice or refund.

4. Free Trial & Billing

Free Plan

The Free plan is available at no cost and includes up to 50 receipt captures per month, 1 user, QuickBooks sync, AI OCR, and mobile PWA access. No credit card is required to access the Free plan. The Free plan is subject to change at any time with 30 days' notice.

Pro Plan

• Price: $19.00 USD per month
• Billing: Monthly, in advance, on the date you first subscribe
• Payment: Processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until cancellation
• Cancellation: You may cancel at any time from Settings → Billing → Cancel Plan. Cancellation takes effect at the end of the current billing period. You retain Pro access until that date
• Refunds: Subscription fees are non-refundable for partial billing periods, except as required by applicable law. If you cancel mid-month, you retain access through the end of that month and are not charged again
• Upgrades/Downgrades: Upgrading takes effect immediately. Downgrading to the Free plan takes effect at the end of your current billing period

Enterprise Plan

Enterprise pricing is negotiated on a custom basis. Enterprise agreements are governed by a separate Order Form and, where applicable, a Master Services Agreement. Contact hello@receiptstream.ai to discuss Enterprise pricing.

Taxes

All prices are exclusive of applicable taxes (including sales tax, VAT, or GST). You are responsible for all applicable taxes based on your jurisdiction.

5. Your Data

Ownership

You retain full ownership of all receipt images, extracted data, and expense records you upload or generate through the Service ("Your Data"). We claim no ownership over Your Data.

License to Process

By using the Service, you grant ReceiptStream.AI a limited, non-exclusive, royalty-free, worldwide license to store, process, transmit, and display Your Data solely for the purpose of providing and improving the Service to you. This license terminates when you delete your account and your data has been fully purged in accordance with our Privacy Policy.

Your Responsibility for Data

You are responsible for ensuring that:

• All receipts and data you upload are legitimate and not fabricated or altered
• You have the right to upload and process the receipts (e.g., for your own business expenses or those of your employer where you have authorization)
• Your use of the Service complies with all applicable accounting, tax, and financial record-keeping requirements in your jurisdiction

6. OCR Accuracy Disclaimer

ReceiptStream.AI uses Google Cloud Vision AI to extract structured data from receipt images. While the system achieves high accuracy, the following limitations apply:

• OCR accuracy depends on image quality, lighting, receipt legibility, and font used by the vendor
• Vendor names, amounts, dates, and line items may be incorrectly extracted or partially missing
• The categorization engine applies rules-based logic that may not always produce the correct QuickBooks account or category

Your Verification Responsibility

Before approving any receipt for sync to QuickBooks, you should verify that:

• The extracted vendor name is correct
• The transaction amount matches the original receipt
• The transaction date is accurate
• The assigned QuickBooks category is appropriate for the expense

ReceiptStream.AI is not liable for OCR errors, incorrect data extraction, or misclassification that results in inaccurate QuickBooks entries, tax filings, or financial records. Sole responsibility for the accuracy of your QuickBooks data rests with you.

7. QuickBooks Integration

QuickBooks Online Subscription Requirement

To use the QuickBooks sync features of ReceiptStream.AI, you must have a valid, active QuickBooks Online subscription with Intuit Inc. ReceiptStream.AI is not affiliated with, endorsed by, or a substitute for QuickBooks Online. The QuickBooks Online service is governed by Intuit's own terms of service and privacy policy.

Authorization and Access

When you connect QuickBooks through ReceiptStream.AI, you authorize us to act on your behalf to create expense entries in your QuickBooks company file. You are responsible for ensuring this authorization is appropriate under your QuickBooks account's terms and your organization's internal policies.

Data Accuracy in QuickBooks

You acknowledge and agree that:

• The accuracy of expense entries created in QuickBooks through ReceiptStream.AI is your responsibility
• You should review all synced entries in QuickBooks periodically
• ReceiptStream.AI is not responsible for any accounting errors, tax consequences, or audit findings resulting from data synced to QuickBooks through the Service

QuickBooks Service Availability

QuickBooks sync depends on Intuit's API availability. ReceiptStream.AI does not guarantee sync success when Intuit's services are unavailable, degraded, or when your QuickBooks authorization has expired. The Service will notify you of sync failures and allow you to retry.

8. Account Termination

Termination by You

You may delete your account at any time from Settings → Account → Delete Account. Upon deletion, your access to the Service ends immediately. Your data will be permanently deleted within 30 days as described in our Privacy Policy.

Termination by ReceiptStream.AI

We reserve the right to suspend or terminate your account, with or without notice, for:

• Violation of these Terms of Service
• Suspected fraudulent activity, including uploading fabricated receipts
• Non-payment of applicable subscription fees after reasonable notice
• Conduct that we determine, in our sole discretion, poses a risk to other users, the Service, or third parties
• Compliance with applicable law or legal process

Effect of Termination

Upon termination:

• Your right to access and use the Service ceases immediately
• We may delete your data in accordance with our Privacy Policy and data retention schedule
• Termination does not entitle you to a refund of prepaid subscription fees, except as required by law
• All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability

9. Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECEIPTSTREAM.AI, KUBERNYX, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Data loss, corruption, or unauthorized access to your data
• Errors, omissions, or inaccuracies in OCR-extracted data
• Failed, delayed, or incorrect QuickBooks sync events
• Losses resulting from use of or inability to use the Service

REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability Cap

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO RECEIPTSTREAM.AI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50.00 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless ReceiptStream.AI, Kubernyx, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms of Service
• Your violation of any applicable law, regulation, or third-party right
• Any content, data, or receipts you upload through the Service
• Any inaccurate financial, tax, or accounting records resulting from your use of the Service

We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida. You consent to personal jurisdiction and venue in such courts.

Informal Resolution First

Before filing any formal legal action, you agree to first contact us at hello@receiptstream.ai to describe the dispute and attempt in good faith to resolve it informally. We will attempt to resolve disputes within 30 days of receiving written notice.

Waiver of Class Actions

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST RECEIPTSTREAM.AI OR KUBERNYX.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page
• Notify you by email to the address on your account at least 30 days before changes take effect for material modifications
• Display a prominent notice in the application

Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and may delete your account before the effective date.

Minor changes (such as typo corrections, clarifications, or changes required by law) may be made without prior notice.
